These Terms of Service (“Terms”) are a binding agreement between you and DataObi, part of Matrix Solutions AI Inc (“DataObi”, “we”, “us”), and govern your access to and use of dataobi.com, our applications, APIs and related services (together, the “Services”). By creating an account, or by accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.
The Services
DataObi is a multi-tenant business-intelligence platform that ingests, processes and visualises operational data so that customers can make and automate decisions. We may update, add or remove features over time. We provide the Services on a subscription basis as described in your order or plan.
Accounts & eligibility
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must promptly notify us of any unauthorised use or suspected security breach.
- You must be legally able to enter into a contract to use the Services.
Acceptable use
Your use of the Services must comply with our Acceptable Use Policy. You must not misuse the Services, interfere with their operation, attempt to access data that is not yours, or use the Services to violate any law or third-party right.
Customer data & privacy
You retain all rights to the data you or your users submit to the Services (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy and Cookie Policy. As a multi-tenant platform, we enforce tenant isolation so that your data is not accessible to other customers.
Subscriptions, fees & billing
Paid plans are billed as set out in your order and in our Payment & Billing Terms. Cancellations and refunds are handled under our Refund Policy. Unless stated otherwise, fees are non-refundable except as required by law or expressly provided in those policies.
Intellectual property
The Services, including all software, content and trademarks, are owned by DataObi or its licensors and are protected by law. See our Copyright & IP Policy. We grant you a non-exclusive, non-transferable right to use the Services during your subscription, subject to these Terms. We may use aggregated, de-identified data to operate and improve the Services.
Third-party services
The Services may integrate with third-party products (for example data sources, payment processors and analytics providers). Your use of those products is governed by their own terms, and we are not responsible for third-party services.
Suspension & termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Services in a way that risks harm to us or others. On termination, your right to use the Services ends; we will make Customer Data available for export for a limited period as described in your plan, after which it may be deleted.
Warranties & disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits or data. Our total liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example by posting the updated Terms with a new date or by email). Your continued use of the Services after changes take effect constitutes acceptance.
